I’ve had a sole proprietorship for quite some time now, it’s got to be at least five years. I own a landscaping company. My business isn’t big, I’ve got two employees I manage. A couple of my friends have their own businesses too, one of them has incorporated and he filed in Nevada, though we both live in California.

I decided that in order for my business to grow and at the same time, my head be cleared of any un-wanted stress, I should form a legal entity, I chose a corporation.

I did some research online and found several sites including the official government sites, which had limited help, as well as several companies offering to form the company online.

After my research I decided that unlike my friend, I would file in my home state of California, it seemed less stressful than to deal with getting any kind of permission to do business where all my business will take place anyway. Against the advice of my friend (who used a lawyer) I found a few companies online that seemed to do the same thing. I’m often weary about spending money online, call me old school, but I talked to a few companies (the ones that I could actually get on the phone) and Incorporate Fast was the most knowledgeable and friendly, there was one a little cheaper but they didn’t answer the phone when I called.

I filled out basic information online, and within about an hour I had an email stating that my articles of incorporation were prepared, from there I just downloaded those documents, signed them, and sent them off to Incorporate Fast. They filed the documents with the state and monitored their approval. They emailed me when it was approved and even sent me a kit with stock certificates, an embossing seal, minutes and bylaws.

My friend paid over five times what I paid and got the exact same thing. I also had to notify the IRS of the change of entity type because they had to give me a new employer identification number.

All in all the process was as easy as filing for a DBA (doing business as) if not easier, because I didn’t have to go down to any office.

How do i legally start up my own LLC?

How hard is it to form your own LLC? how do i legally do this in Nevada? Do i need a lawyer?

I don’t specifically know the rules in Nevada, but I just set up my own LLC myself, without a lawyer. In Ohio, I only had to pay the Secretary of State fees – $125

During my initial consultations with new clients, I am frequently asked about setting up Corporations and LLCs. Here are a few common questions/misconceptions about forming a corporation or LLC in a different state than you live in:

Q: I am a New York resident and business owner. I have been told that I can save a great deal of tax each year if I establish my company in a tax-free state. Is it really this easy to avoid New York State income taxes?

A: No, it is not that simple. The way New York handles multi-state tax issues is by allowing a credit against NY income taxes equal to the amount of income taxes paid to other states. If you are a full-year or part-year resident of NY and if any part of your income was taxed by another state, local government, or the District of Columbia, you may claim a credit against your NY State tax. Therefore, if your income is not taxed by the other state, your credit against NY income tax equals zero and you end up paying the full NY income tax rate.

Q: What about other benefits of establishing my business in another state such as the anonymity provided by Nevada Limited Liability Companies (LLCs)?

A: Though Nevada is heralded as a state that provides business owners anonymity, this only holds true for shareholders of a Nevada Corporation, not a Nevada LLC. Members and managers of a Nevada LLC must be disclosed on annual reports that immediately become public information. Additionally, if you are involved in arms-length transactions with your clients and/or customers, they meet you face-to face and they know who you are. Therefore anonymity is only valuable in certain industries where that face-to-face contact is not prevalent. Further, by establishing your New York-based business in Nevada, you will have to undergo additional filing fees in order to do business and report your business activity in NY.

Q: With all the talk about establishing entities out-of-state, what is my best course of action?

Unless you are operating a large business, most small and mid-size companies are better off establishing their business in the state that they plan to do business in. This ensures that you do not have to shoulder the burden of additional reporting requirements, administrative provisions, state filing fees, accounting fees, and legal fees. Consult with both your attorney and your CPA before going online to setup a company in a different state.

7. It is not mandatory for directors of corporations in Nevada to be shareholders.

8. Corporations in Nevada can sell, purchase, transfer or hold their own shares.

9. A single person can incorporate and hold all offices.

10. Corporations in Nevada can own other corporations, real estate, and stock. If you want to buy land and keep it a secret, you can use a Nevada Corporation to buy the land and nobody will know that you own the corporation that owns the land.

11. It is not required that the owners of a Nevada corporation be residents of Nevada or US citizens. They only need to have a resident agent. A resident agent is the Secretary of State’s acknowledged contact for your corporation.

It is no wonder that corporations are rushing to incorporate in Nevada, since some of the rich and the famous like to remain anonymous and do not like to disclose all their assets for public scrutiny. Not only is it economical to start a corporation in Nevada, it is also fairly easy running the corporation without legal hassles. S corporations and their limitations are not needed in Nevada as people mostly form S corporations to enjoy its tax benefits. This does not matter in Nevada since it is a tax free state. Elsewhere corporations are double taxed.
